These Terms & Conditions govern the engagement between AdMagic Agency ("AdMagic", "we", "us") and the client ("Client", "you") for Shopify development, creative production, ad creative studio solutions, and access to the ATMS platform.
1Acceptance of Agreement
By hiring AdMagic for services, signing an onboarding proposal, making an advance payment, or logging into the client portal (admagic.in / ATMS), you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.
2Scope of Agency Services
AdMagic provides specialized e-commerce engineering and creative studio services including, but not limited to:
- Shopify 2.0 Store Development: Custom Liquid code development, headless/OS2.0 theme builds, checkout extensions, app setups, and 99/100 Core Web Vitals speed tuning.
- Creative Studio & Visuals: High-CTR hero banners, 3D product renders, conversion-focused landing pages, static creatives, and video/reel ad assets.
- Performance Marketing & Content Sheets: Product catalog auto-hydration, creative testing pipelines, and attribution dashboards.
- ATMS Operations Portal: Dedicated client dashboards, task tracking, transparent wallet balances, and performance reporting.
3Client Responsibilities & Store Access
Collaborator Permissions: To perform technical and design operations, Client agrees to grant AdMagic authorized Shopify collaborator access or staff accounts with relevant permissions (Themes, Products, Apps).
Timely Assets & Approvals: Client shall provide high-resolution product imagery, brand style guides, copywriting inputs, and milestone sign-offs in a timely manner. Project delivery deadlines are contingent on prompt feedback.
Content Legality: Client warrants that all product descriptions, trademarks, trademarks, and media assets provided to AdMagic do not infringe upon any third-party intellectual property rights.
4Fees, Wallet Top-Ups & Payment Terms
Billing Structures: Engagements may follow fixed-scope project milestones, monthly retainer agreements, or performance-tiered commission slabs as outlined in your service agreement.
Client Wallet System: For performance retainers and ongoing task execution, clients maintain a prepaid wallet on the ATMS platform. Recharges are submitted via official agency UPI or bank transfer and verified by agency administration.
Taxes: All quoted prices are exclusive of applicable Indian Goods and Services Tax (GST) unless explicitly stated otherwise in the formal invoice.
Late Payment & Pauses: If a client wallet balance falls below the minimum required operating threshold, or milestone invoices remain unpaid beyond 7 business days, AdMagic reserves the right to temporarily pause active development sprints until balance reconciliation.
5Intellectual Property Rights
Client Ownership: Upon full and final settlement of all agreed fees, Client owns all proprietary rights to the custom store code, theme modifications, and final creative designs produced specifically for their store.
Agency Portfolio Rights: AdMagic retains the non-exclusive right to display non-confidential visual work, store mockups, before-and-after conversion benchmarks, and anonymized speed metrics in our agency portfolio and case studies.
Pre-Existing Tools: Proprietary scripts, internal software (such as ATMS), developer frameworks, and reusable UI component libraries remain the exclusive property of AdMagic.
6Limitation of Liability & Disclaimers
• Platform Dependencies: AdMagic is not liable for disruptions, downtime, or policy shifts caused by third-party platforms including Shopify, Meta Ads, Google Cloud, or third-party Shopify apps.
• Conversion & Sales Disclaimer: While our themes and creatives are engineered following proven CRO best practices, AdMagic does not guarantee specific revenue figures, sales volumes, or ad ROAS, as commercial results depend on market demand, product quality, inventory, and external economic variables.
• Liability Cap:In no event shall AdMagic's total aggregate liability arising out of any engagement exceed the total fees paid by the client to AdMagic during the two (2) months preceding the incident.
7Governing Law & Jurisdiction
These Terms and any contractual disputes arising from services rendered shall be governed by and construed in accordance with the laws of India, subject to the exclusive jurisdiction of the competent courts in Gujarat, India.
